for CaleyAI

1.Scope and Provider

1.1 These Terms and Conditions ("Terms") govern the use of CaleyAI, a web-based AI calendar, productivity, file storage, and file sharing platform.

1.2 The provider of CaleyAI is:

1.3 These Terms apply to all users of CaleyAI, including consumers, businesses, executives, self-employed persons, organizations, and other legal entities.

1.4 A "Consumer" means a natural person within the meaning of Section 13 of the German Civil Code (Bürgerliches Gesetzbuch - BGB) who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession.

1.5 An "Entrepreneur" means a natural or legal person or legally capable partnership within the meaning of Section 14 BGB who, when entering into a legal transaction, acts in the exercise of their trade, business, or profession.

2.Definitions

2.1 "CaleyAI" or the "Service" means the web-based platform operated by the Provider, including the website, web application, AI assistant, calendar functions, email reminders, file uploads, public file links, subscription features, account settings, and related services.

2.2 "Website" means https://caleyai.com.

2.3 "App" means https://app.caleyai.com.

2.4 "User" means any person or entity that accesses or uses CaleyAI.

2.5 "Account" means the individual user account required to access the logged-in parts of CaleyAI.

2.6 "Plan" means a usage tier offered by CaleyAI, including Free, Basic, Premium, and Ultra.

2.7 "Paid Subscription" means a paid Plan purchased by the User.

2.8 "Billing Period" means the recurring period for which a Paid Subscription is billed. Unless otherwise stated during checkout, Paid Subscriptions are billed monthly.

2.9 "User Content" means all content, data, files, calendar entries, prompts, messages, images, settings, custom instructions, uploads, links, reports, appeals, and other materials submitted, uploaded, generated, stored, or processed by a User through CaleyAI.

2.10 "Public File" means a file uploaded or configured by the User so that it can be accessed through a public link.

2.11 "Private File" means a file stored in the User's logged-in dashboard and not intentionally made available through a public link.

2.12 "AI Assistant" means the AI-powered functionality within CaleyAI that can respond to prompts, process User Content, assist with calendar and productivity tasks, generate summaries, process images, review file reports, and perform supported actions inside the platform.

2.13 "AI Usage Units" means internal technical usage units used by CaleyAI to calculate and limit AI usage. AI Usage Units are not money, credit, tokens, or a stored monetary balance.

2.14 "Contract" means the usage contract concluded between the Provider and the User for the use of CaleyAI. These Terms form part of the Contract.

3.Subject Matter of the Contract

3.1 The Provider grants the User access to CaleyAI as Software-as-a-Service for the duration of the Contract and within the limits of the selected Plan.

3.2 CaleyAI is provided remotely through a web browser. No software copy is sold or transferred to the User.

3.3 Depending on the selected Plan and the current product version, CaleyAI may include:

  • account registration and login
  • email verification
  • onboarding and personalization
  • full calendar functionality with unlimited events
  • ICS import and export
  • AI chat
  • AI image processing
  • AI calendar assistance
  • email reminders
  • daily or weekly AI calendar summaries
  • file uploads
  • private dashboard file storage
  • public file links
  • public file reporting
  • appeal process for certain planned file deletions
  • subscription management
  • account data export
  • settings and custom instructions

3.4 CaleyAI is continuously developed. The Provider may add, modify, replace, limit, or remove features where this is reasonable for the User, necessary for security, required by law, needed to prevent abuse, or necessary for technical, economic, or product-related reasons.

3.5 For Consumers, mandatory statutory rights concerning digital products remain unaffected.

4.AI Functionality

4.1 CaleyAI includes AI functionality. The User is informed that they are interacting with an AI system.

4.2 The AI Assistant may generate text, summaries, calendar suggestions, calendar actions, file report assessments, settings guidance, and other outputs automatically.

4.3 AI outputs may be inaccurate, incomplete, outdated, or unsuitable for a specific purpose. The AI Assistant does not provide legal, medical, financial, tax, psychological, or other professional advice.

4.4 The User remains responsible for reviewing AI outputs before relying on them, especially for appointments, deadlines, reminders, summaries, file decisions, or other important matters.

4.5 AI functionality is provided through Cloudflare services, including Cloudflare Workers AI and Cloudflare AI Gateway. CaleyAI does not use OpenAI for AI processing.

5.System Requirements

5.1 To use CaleyAI, the User needs:

  • a current web browser that receives security updates
  • an internet-enabled device
  • a stable internet connection
  • enabled JavaScript
  • enabled cookies or similar technically necessary storage mechanisms
  • an email address for account verification and transactional emails

5.2 The Provider does not guarantee full functionality on outdated browsers, unsupported operating systems, disabled browser features, blocked scripts, unstable networks, or devices that do not meet reasonable technical requirements.

6.Account Registration and Email Verification

6.1 To use the logged-in features of CaleyAI, the User must create an Account with an email address and password.

6.2 Accounts are individual accounts. CaleyAI does not currently provide team accounts, shared accounts, multi-user accounts, workspaces, or organization accounts.

6.3 The User must provide accurate information and keep account information up to date.

6.4 Email verification is required. The User must verify their email address by clicking the verification link sent by CaleyAI.

6.5 If the User does not verify their email address within 3 days after account creation, the unverified Account may be automatically deleted.

6.6 The User is responsible for keeping login credentials confidential and for all activity under their Account, unless the activity was caused by the Provider or by circumstances outside the User's control.

6.7 The User must notify the Provider without undue delay if they suspect unauthorized access.

6.8 Accounts are personal to the registered User. The User may not sell, transfer, rent, share, or make their Account available to third parties.

7.Minimum Age

7.1 Users must be at least 16 years old to create an Account.

7.2 Users under 16 may use CaleyAI only where valid parental consent is provided and where such use is legally permitted.

7.3 The Provider may delete accounts that violate this age requirement.

8.Conclusion of Contract

8.1 A Contract for the Free Plan is concluded when the User creates an Account, accepts these Terms, and completes the registration process.

8.2 For Paid Subscriptions, the Contract is concluded when the User selects a paid Plan, enters the required billing information through Stripe, accepts these Terms and any mandatory information, and confirms the order by clicking the payment button.

8.3 The payment button will clearly indicate that the order involves a payment obligation, for example by wording such as "Subscribe with payment obligation", "Pay now", or an equivalent formulation.

8.4 After purchase of a Paid Subscription, the User receives an order confirmation by email. The confirmation may include the selected Plan, price, Billing Period, payment information, and links to the applicable Terms and withdrawal information.

8.5 The Provider does not separately archive a complete individual contract text for the User. The current Terms are available on the website and can be saved or printed by the User.

8.6 Before completing a paid order, the User can review and correct input errors through the checkout process.

9.Free Plan

9.1 CaleyAI offers a Free Plan.

9.2 The Free Plan is not a free trial. It is a free usage tier with limited features, limits, and availability.

9.3 The Free Plan currently includes:

  • €0 per month
  • Free tier AI usage
  • 3 email reminders per week
  • 30 MB file storage
  • 3 public file links
  • full calendar with unlimited events
  • ICS import and export
  • shared free AI pool, subject to availability
  • manual calendar use after AI limit is reached

9.4 AI usage in the Free Plan is subject to both individual Free Plan limits and a shared global free AI pool.

9.5 If the shared global free AI pool is exhausted or temporarily unavailable, AI functionality in the Free Plan may be unavailable even if the User has not reached their individual Free Plan limit.

9.6 The Provider may restrict, pause, modify, reduce, suspend, or discontinue the Free Plan at any time, in whole or in part, where reasonable and legally permitted.

9.7 The Provider may apply stricter technical limits to the Free Plan to protect the Service, prevent abuse, control costs, or maintain availability for paid Users.

9.8 Manual calendar use remains available after AI limits are reached, unless the Account is suspended, restricted, or terminated for another reason.

10.Paid Plans

10.1 CaleyAI currently offers the following paid monthly Plans.

10.2 Basic Plan:

  • €4.99 per month
  • 33x Free tier AI usage
  • 25 email reminders per week
  • 5 GB file storage
  • 10 public file links
  • full calendar with unlimited events
  • ICS import and export
  • AI chat and image use in one weekly pool
  • intended for everyday personal planning

10.3 Premium Plan:

  • €9.99 per month
  • 83x Free tier AI usage
  • 50 email reminders per week
  • 10 GB file storage
  • 25 public file links
  • full calendar with unlimited events
  • ICS import and export
  • more room for complex AI planning
  • weekly AI calendar summaries delivered by email

10.4 Ultra Plan:

  • €19.99 per month
  • 250x Free tier AI usage
  • 100 email reminders per week
  • 20 GB file storage
  • 75 public file links
  • full calendar with unlimited events
  • ICS import and export
  • highest weekly AI and email allowance
  • weekly and daily AI calendar summaries delivered by email

10.5 The exact features, limits, prices, and usage allowances shown during checkout, on the pricing page, or in the app are decisive if they differ from general marketing descriptions.

10.6 Paid Subscription fees are due in advance for each Billing Period.

11.AI Usage Units and Limits

11.1 CaleyAI uses internal AI Usage Units to calculate and limit AI usage.

11.2 Current weekly AI Usage Unit limits are:

  • Free: 300,000 units
  • Basic: 10,000,000 units
  • Premium: 25,000,000 units
  • Ultra: 75,000,000 units

11.3 AI Usage Units may be used by AI chat, AI image processing, AI calendar assistance, summaries, and other AI-powered features.

11.4 AI Usage Units are internal technical units. They do not represent money, stored value, currency, credits, or a claim for payment.

11.5 Unused AI Usage Units do not roll over unless expressly stated.

11.6 AI Usage Unit consumption and remaining usage may be visible in the User's settings or usage page.

11.7 The Provider may adjust the way AI Usage Units are calculated, measured, displayed, or consumed where this is necessary due to technical changes, model changes, cost changes, abuse prevention, or product development.

11.8 The Provider may apply rate limits, throttling, temporary restrictions, or other technical measures where necessary to protect the Service.

12.File Storage and Upload Limits

12.1 CaleyAI allows file uploads within the limits of the selected Plan.

12.2 The maximum file size per uploaded file is currently:

  • Free Plan: 30 MB per file
  • Paid Plans: 1 GB per file

12.3 Total file storage is limited by the selected Plan:

  • Free: 30 MB
  • Basic: 5 GB
  • Premium: 10 GB
  • Ultra: 20 GB

12.4 Public file links are limited by the selected Plan:

  • Free: 3 public file links
  • Basic: 10 public file links
  • Premium: 25 public file links
  • Ultra: 75 public file links

12.5 CaleyAI generally supports many common file types, including images, PDFs, videos, ZIP files, and similar file formats.

12.6 The User must ensure that uploaded files comply with these Terms, applicable law, third-party rights, and platform guidelines.

12.7 The Provider may block, restrict, remove, delete, or disable files at any time where necessary for legal, security, operational, moderation, abuse prevention, or platform integrity reasons.

13.Public and Private Files

13.1 Private Files are accessible through the User's logged-in dashboard.

13.2 Public Files are accessible through public links. Anyone with the public link may be able to access, view, download, copy, share, or otherwise use the Public File.

13.3 The User should treat public links as publicly accessible. Public links are not private, secret, or access-controlled.

13.4 CaleyAI does not currently provide private public links, password-protected file links, or 6-digit access code protection for files.

13.5 The User must not make a file public unless the User is legally allowed to share it publicly.

13.6 Public Files may be cached by browsers, networks, CDNs, search engines, or other technical systems.

13.7 After deletion, restriction, or disabling of a Public File, the file may remain temporarily accessible through caches or technical propagation delays in exceptional cases.

14.Prohibited Content and Acceptable Use

14.1 The User must not use CaleyAI to upload, create, store, share, publish, link, process, or distribute content that:

  • is illegal
  • infringes copyrights, trademarks, personality rights, privacy rights, trade secrets, or other third-party rights
  • contains malware, viruses, spyware, ransomware, or harmful code
  • enables phishing, fraud, identity theft, credential theft, or scams
  • promotes or facilitates violence, terrorism, child sexual abuse, exploitation, or serious harm
  • contains non-consensual intimate imagery
  • unlawfully discloses personal data
  • is defamatory, harassing, threatening, or abusive
  • is spam or part of an unsolicited advertising campaign
  • violates export controls, sanctions, or applicable laws
  • circumvents technical limits, security systems, or access controls
  • overloads, attacks, scrapes, reverse engineers, or disrupts the Service
  • uses the AI Assistant to generate, automate, or facilitate unlawful or abusive activity

14.2 The User must not upload files or content that violate applicable law, these Terms, third-party rights, or CaleyAI's platform rules.

14.3 The Provider may suspend, restrict, delete, or terminate access where the User violates this Section.

15.Strikes and Upload Restrictions

15.1 In severe cases involving prohibited files or serious misuse of file uploads, the Provider may issue a strike to the User's Account.

15.2 If the User receives two strikes, the Provider may permanently or temporarily disable file uploads for that Account.

15.3 Strikes are reserved for serious cases, such as clearly unlawful, dangerous, abusive, or severely rights-infringing uploads.

15.4 If the User believes that a strike was issued incorrectly, the User may contact the Provider at: info@caleyai.com

15.5 The Provider may remove strikes or restore upload access at its discretion where the strike was unjustified or the circumstances justify restoration.

15.6 In serious cases, the Provider may immediately delete content, restrict access, suspend the Account, terminate the Contract, or take legal steps without first issuing strikes.

16.Public File Reports, Moderation, and Appeals

16.1 CaleyAI provides a reporting system for Public Files.

16.2 Users and third parties may report Public Files that they believe are illegal, infringe rights, violate these Terms, or otherwise require review.

16.3 Reports may be reviewed primarily by AI. The AI may review report data, file metadata, account context, and other information needed to assess the report.

16.4 The AI does not generally access the contents of files for ordinary report review unless the platform technically enables such access for a specific review process or this is legally, technically, or operationally necessary.

16.5 In difficult, unclear, disputed, or severe cases, the AI may escalate the matter to the Provider for further review.

16.6 After review, the Provider may take measures including:

  • no action
  • warning
  • strike
  • temporary restriction
  • disabling public access
  • scheduling deletion
  • immediate deletion
  • disabling file uploads
  • account restriction
  • account suspension
  • termination
  • preservation of records where legally necessary
  • notification to competent authorities where legally required

16.7 Where legally required and technically possible, the Provider will inform the affected User of the measure and provide a reason.

16.8 In certain cases, a file may be scheduled for deletion after a defined period, for example after 3 days.

16.9 Where a file is scheduled for deletion, the affected User may appeal the moderation decision in the app by clicking "Appeal" and explaining why the file should not be deleted or restricted.

16.10 Appeals are available only for planned deletion or restriction decisions where the app provides an appeal option.

16.11 If a file is immediately deleted due to severe illegality, severe abuse, security risk, or other urgent reasons, no in-app appeal may be available. The User may contact the Provider by email if they believe the decision was incorrect.

16.12 Appeals may be reviewed by AI and/or by the Provider where necessary.

16.13 Submitting an appeal does not guarantee that the file will remain available or be restored.

16.14 The User must not submit abusive, false, malicious, automated, or bad-faith reports or appeals.

17.Calendar, ICS Import and Export, Reminders, and Summaries

17.1 CaleyAI may allow the User to create, edit, delete, import, export, and manage calendar events.

17.2 The User is responsible for ensuring that imported ICS files are lawful, accurate, and suitable for use.

17.3 The Provider does not guarantee that every external calendar system will import or export ICS data correctly.

17.4 Email reminders and AI summaries are convenience features.

17.5 The Provider does not guarantee that reminders, summaries, or emails will always be delivered on time, without error, or at all.

17.6 The User remains responsible for independently tracking important appointments, deadlines, obligations, and events.

18.AI Assistant Use Restrictions

18.1 The User must not use the AI Assistant to:

  • violate laws or third-party rights
  • generate malware or harmful instructions
  • bypass platform limits
  • create spam or abusive automation
  • process third-party personal data without a legal basis
  • upload or analyze unlawful content
  • interfere with the Service
  • attempt to extract system prompts, security rules, hidden platform instructions, or confidential implementation details
  • misrepresent AI outputs as human-generated where this would be misleading or unlawful

18.2 AI features may be subject to usage limits, temporary unavailability, model changes, quality variations, provider limitations, and rate limits.

19.Emails and Notifications

19.1 CaleyAI may send transactional emails, including:

  • email verification messages
  • login and security messages
  • account notices
  • subscription and billing notices
  • reminder emails
  • daily or weekly summaries
  • report and appeal notices
  • file deletion or moderation notices
  • legal and security notices

19.2 Some optional emails, such as certain login security emails or summaries, may be configurable in the settings where the app provides this option.

19.3 Essential security, legal, account, payment, and service emails may still be sent even if optional emails are disabled.

19.4 Marketing emails are sent only where legally permitted. The User may unsubscribe from marketing emails at any time.

19.5 Unsubscribing from marketing emails does not stop necessary transactional emails.

20.Prices, Payment, and Billing

20.1 Prices for Paid Subscriptions are shown on the pricing page, in the app, or during checkout.

20.2 Unless otherwise stated, paid Plans are billed monthly.

20.3 Prices may include or exclude VAT, sales tax, or similar taxes depending on the User's location and the information shown during checkout.

20.4 Where legally required, taxes are calculated and shown separately during checkout or on invoices.

20.5 Payments are processed by Stripe.

20.6 The User can manage billing details, payment methods, invoices, upgrades, downgrades, cancellations, and subscription status through the Stripe Customer Portal, accessible from:

https://app.caleyai.com/subscription via the "Manage Billing" link.

20.7 Fees are due in advance at the beginning of each Billing Period.

20.8 If a payment fails, the Provider may retry payment through Stripe. If payment is not made, the Provider may suspend, downgrade, restrict, or terminate the Paid Subscription after reasonable notice where required.

20.9 The Provider does not store full credit card details. Payment details are processed by Stripe.

20.10 Paid Subscriptions renew automatically for the next Billing Period unless canceled before renewal.

21.Refunds

21.1 Unless mandatory law provides otherwise, payments are non-refundable.

21.2 The Provider does not offer standard voluntary refunds.

21.3 The Provider may grant refunds as a gesture of goodwill on a case-by-case basis. Granting a goodwill refund in one case does not create a right to future refunds.

21.4 Mandatory consumer withdrawal rights remain unaffected.

22.Right of Withdrawal for Consumers

22.1 Consumers have the statutory right to withdraw from a paid Contract within 14 days without giving any reason.

22.2 The withdrawal period begins on the day the Contract is concluded.

22.3 To exercise the right of withdrawal, the Consumer must inform the Provider by a clear statement, for example by email to: info@caleyai.com

22.4 The Consumer may use the model withdrawal form in Section 38, but this is not required.

22.5 If the Consumer withdraws from the Contract, the Provider refunds all payments received from the Consumer without undue delay and no later than 14 days from the day on which the Provider receives the withdrawal notice.

22.6 The refund will use the same payment method used for the original transaction unless expressly agreed otherwise.

22.7 If the Consumer has expressly requested that performance begin during the withdrawal period, the Consumer must pay a reasonable amount corresponding to the portion of the services already provided up to the time of withdrawal, compared with the full scope of the Contract, where legally permitted.

22.8 For digital services, the right of withdrawal may expire early if the Provider has fully performed the service and the Consumer has expressly consented to the Provider beginning performance before the withdrawal period expires and confirmed their knowledge that they lose the right of withdrawal upon complete performance.

22.9 The Provider may require the Consumer to confirm the following or an equivalent statement before immediate access to a paid digital service begins:

"I expressly agree that CaleyAI begins providing the paid digital service immediately before the withdrawal period expires. I acknowledge that I may lose my right of withdrawal once CaleyAI has fully performed the paid service."

22.10 Mandatory consumer rights remain unaffected.

23.Price Changes

23.1 The Provider may change prices with effect for future Billing Periods.

23.2 For existing Paid Subscriptions, the Provider will notify the User of price increases in advance by email or in-app notice at least 30 days before the change takes effect, unless a shorter period is legally permitted or the change is purely beneficial to the User.

23.3 If the User does not agree to a price increase, the User may cancel the Paid Subscription before the new price takes effect.

23.4 Changes caused by taxes, exchange rates, payment provider fees, regulatory charges, or legally required adjustments may be passed on where legally permitted.

24.Upgrades, Downgrades, and Cancellations

24.1 The User may upgrade, downgrade, or cancel a Paid Subscription through the billing portal or another subscription management option provided in the app.

24.2 Cancellation takes effect at the end of the current Billing Period unless otherwise stated or required by law.

24.3 If the User downgrades or cancels, access to paid features, higher AI Usage Unit limits, storage capacity, public file links, summaries, or other paid features may be reduced at the end of the current Billing Period.

24.4 If the Account exceeds the limits of the new Plan after downgrade or cancellation, the User may be required to delete files, reduce usage, or upgrade again.

24.5 The Provider may restrict new uploads, disable public file links, suspend certain features, or delete data exceeding the applicable Plan limits after notice where reasonable and legally required.

25.Account Deletion and Data Export

25.1 The User may export account-related data through the settings where available.

25.2 Calendar data can be exported separately through ICS export.

25.3 Account deletion is available only if no active Paid Subscription exists. If the User has an active Paid Subscription, the User must first cancel the subscription before deleting the Account.

25.4 To delete an Account, the User must complete the deletion process in the app and confirm that they are sure.

25.5 After the deletion request, the Provider sends an email confirming the deletion process.

25.6 The User has 14 days to stop deletion by logging in again.

25.7 After the 14-day period, the Account and associated data are irreversibly deleted, unless legal retention obligations or legitimate legal reasons require limited continued storage.

25.8 Unverified Accounts may be deleted 3 days after account creation.

25.9 Payment records, invoices, tax records, security logs, reports, appeals, moderation records, and legal documentation may be retained where required or permitted by law.

26.User Content and Rights

26.1 The User is solely responsible for User Content.

26.2 The User must ensure that User Content is lawful, accurate where necessary, and does not infringe third-party rights.

26.3 The User may upload, store, process, share, or publish User Content only if the User has all necessary rights, permissions, licenses, consents, and legal bases.

26.4 This applies especially to files, images, copyrighted works, personal data, confidential information, business data, and content relating to third parties.

26.5 The User retains ownership of User Content.

26.6 The User grants the Provider a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, analyze, modify for technical purposes, and otherwise use User Content to the extent necessary to provide, secure, maintain, and improve CaleyAI, enforce these Terms, comply with legal obligations, and operate file reporting and appeal systems.

26.7 For Public Files, the User grants the Provider the right to make the file accessible to anyone with the public link until the Public File is deleted, disabled, or restricted.

26.8 The Provider does not generally monitor all User Content. However, the Provider may review, restrict, remove, or report User Content where required or permitted by law, where the content is reported, where automated systems detect abuse, where these Terms are violated, or where platform security is at risk.

27.Intellectual Property

27.1 CaleyAI, including the software, design, logos, trademarks, interfaces, workflows, databases, texts, graphics, and other materials, is protected by copyright, trademark, and other intellectual property laws.

27.2 The User does not acquire ownership of CaleyAI or its software.

27.3 For the duration of the Contract, the Provider grants the User a limited, non-exclusive, non-transferable, non-sublicensable right to use CaleyAI in accordance with these Terms and the selected Plan.

27.4 If the User provides feedback, suggestions, or ideas, the Provider may use them without restriction or compensation, unless otherwise agreed.

28.Availability, Maintenance, and Support

28.1 The Provider aims to provide reliable access to CaleyAI using commercially reasonable efforts.

28.2 No fixed availability percentage, uptime guarantee, or service level agreement applies unless expressly agreed separately in writing.

28.3 For paid Consumer contracts, mandatory statutory rights concerning digital products remain unaffected.

28.4 The Provider may perform planned or emergency maintenance. Planned maintenance may be announced in advance where reasonable. Emergency maintenance may occur without prior notice if needed for security, stability, or legal compliance.

28.5 Availability may depend on third-party providers, including Cloudflare, Stripe, AWS SES, Google, Meta, internet providers, payment networks, and email providers.

28.6 The Provider is not responsible for outages caused by third parties beyond the Provider's reasonable control, except where mandatory law provides otherwise.

28.7 Support is provided by email at: info@caleyai.com

28.8 Support is provided depending on availability. No specific response time is guaranteed unless expressly stated for a Plan.

28.9 The User may also ask the AI Assistant for help with general settings, platform use, or guidance. The AI Assistant may provide explanations but cannot replace official support and may not be able to change all settings or resolve all issues.

29.Updates and Changes to Digital Products

29.1 For Consumers, statutory rules on digital products, including Sections 327 et seq. BGB, remain unaffected.

29.2 The Provider may provide updates, security updates, feature changes, bug fixes, and technical adjustments.

29.3 Since CaleyAI is provided as a web application, updates are usually applied automatically by the Provider.

29.4 The User must not interfere with updates or security mechanisms.

30.Warranty

30.1 Consumers have statutory warranty rights under German law for digital products.

30.2 For Entrepreneurs, warranty claims are limited to 12 months unless the law requires a longer period or the claim is based on intent, gross negligence, injury to life, body, or health, or mandatory liability.

30.3 The Provider does not guarantee that CaleyAI will be error-free, uninterrupted, compatible with every external system, or suitable for every individual purpose.

30.4 Mandatory statutory rights remain unaffected.

31.Liability

31.1 The Provider is liable without limitation for:

  • intent
  • gross negligence
  • injury to life, body, or health
  • liability under the German Product Liability Act
  • guarantees expressly assumed by the Provider
  • other cases of mandatory statutory liability

31.2 In cases of simple negligence, the Provider is liable only for breach of essential contractual obligations.

31.3 Essential contractual obligations are obligations whose fulfillment makes proper performance of the Contract possible and on whose compliance the User may regularly rely.

31.4 In such cases, liability is limited to typical and foreseeable damages.

31.5 For Entrepreneurs, liability for simple negligence is limited to the amount paid by the User to the Provider in the 12 months before the event causing damage, unless mandatory law requires otherwise.

31.6 The Provider is liable for data loss only to the extent that the damage would also have occurred if the User had performed reasonable and regular data backups, unless the Provider caused the damage intentionally or by gross negligence or mandatory law provides otherwise.

31.7 The Provider is not liable for decisions made by the User based solely on AI outputs, summaries, reminders, or automated suggestions, except where mandatory law provides otherwise.

31.8 The Provider is not liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, terrorism, pandemics, strikes, government measures, internet failures, power outages, cyberattacks, provider outages, or other force majeure events.

32.Suspension and Termination by the Provider

32.1 The Provider may temporarily suspend or restrict an Account, feature, file, public link, AI usage, upload capability, or access if:

  • the User violates these Terms
  • payment fails
  • the Account creates security risks
  • abuse, fraud, or unlawful activity is suspected
  • Plan limits are exceeded
  • legal obligations require it
  • Public Files are reported or appear to violate law or these Terms
  • suspension is necessary to protect the Service, other Users, the Provider, or third parties

32.2 The Provider may terminate the Contract without notice for good cause, especially if the User materially violates these Terms, uses the Service unlawfully, uploads illegal content, abuses public file sharing, attacks the Service, creates fake accounts, commits payment fraud, or repeatedly violates moderation decisions.

32.3 After termination, access to the Account and User Content may be restricted or deleted, subject to legal retention obligations and the deletion rules in these Terms and the Privacy Policy.

33.Term and User Termination

33.1 The Free Plan runs for an indefinite period and may be terminated by the User at any time by deleting the Account or requesting deletion.

33.2 Paid Subscriptions run for the selected Billing Period and renew automatically unless canceled.

33.3 The User may cancel a Paid Subscription through the billing portal or the cancellation option in the app.

33.4 Cancellation takes effect at the end of the current Billing Period unless mandatory law provides otherwise.

34.Changes to these Terms

34.1 The Provider may amend these Terms where:

  • the changes are beneficial to the User
  • the Service changes
  • new features are introduced
  • legal requirements change
  • technical or security needs require changes
  • economic or operational conditions change
  • unclear provisions need clarification
  • the changes do not materially disadvantage the User

34.2 For material changes, the Provider will notify Users in advance by email or in-app notice.

34.3 Where legally required, the User may object to changes. If the User objects, the Contract may continue under the previous Terms where technically and legally possible, or the Provider may terminate the Contract at the end of the current Billing Period.

34.4 Where legally permitted, continued use after the effective date of updated Terms constitutes acceptance.

34.5 Mandatory consumer protection rules remain unaffected.

35.Data Protection

35.1 The processing of personal data is governed by the Privacy Policy: https://caleyai.com/privacy-policy

36.Consumer Dispute Resolution

36.1 The Provider is neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board.

36.2 The European Commission's former Online Dispute Resolution (ODR) platform was discontinued on 20 July 2025 and is no longer available.

36.3 General information on consumer redress in the European Union is available at: https://consumer-redress.ec.europa.eu/

37.Applicable Law and Jurisdiction

37.1 The laws of the Federal Republic of Germany apply, excluding the United Nations Convention on Contracts for the International Sale of Goods.

37.2 For Consumers, this choice of law applies only to the extent that it does not deprive the Consumer of mandatory protection granted by the law of the country in which the Consumer has their habitual residence.

37.3 For Consumers, statutory places of jurisdiction apply.

37.4 For merchants, legal entities under public law, or special funds under public law, the exclusive place of jurisdiction is Würzburg, Germany, to the extent legally permitted.

39.Final Provisions

39.1 If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions remains unaffected.

39.2 In place of the invalid or unenforceable provision, the statutory provision applies. Section 306 BGB remains unaffected.

39.3 Amendments and supplements to the Contract require text form unless stricter form is required by law.

39.4 The User may not assign rights or obligations under the Contract without the Provider's prior consent, unless mandatory law provides otherwise.

39.5 These Terms are provided in English for international use.

39.6 The English version is the governing version of these Terms.

39.7 Where mandatory German, EU, or consumer protection law applies, these Terms shall be interpreted in a way that complies with those mandatory legal requirements.
